Terms of service.
INTRODUCTION
This Terms of Use Agreement (“Agreement”) governs the use of the services (“Services”) provided by ZION VISUAL SRL d/b/a Aisthesis (“Aisthesis,” “us,” “we,” or “our” and “Licensor”). By accessing and using our Services, you (“you” or the “Licensee”) agree to be bound by this Agreement. Licensor reserves the right, in its sole discretion, to determine the types of licenses it makes available to end users.
SERVICES
Licensor offers a subscription service that provides churches with a license to access looping video assets and audio pad libraries for use in their services, online streams, content, and related ministry contexts.
SUBSCRIPTION AND PAYMENTS
Subscriptions to our Services are available on a yearly basis. The Licensee is responsible for all charges associated with their subscription and must cancel before the renewal date to prevent further charges. Due to the nature of digital access, no refunds will be given under any circumstances. Licensor retains sole discretion to set the parameters of each Subscription Package, including, without limitation, which products to include and whether to add or remove a given product at any time. Licensor may suspend access to Licensed Materials if Licensor reasonably believes that Licensee’s use of any or all of the Licensed Materials is unauthorized, until such time as Licensor verifies Licensee’s rights to use the Licensed Materials.
INTELLECTUAL PROPERTY
All videos, audio files, and content available through our Services are the property of ZION VISUAL SRL and are protected by copyright law. You may not copy, distribute, or reproduce any content from our platform without our express written consent. For the avoidance of doubt, no ownership in any property, content, or file is granted to the Licensee.
LICENSE GRANT
Upon subscribing to our Services, Aisthesis grants the Licensee a non-exclusive, non-transferable, revocable license to use our video and audio assets for their church services, online streams, and other related ministry uses. The Licensee may not resell, gift, or package the video or audio assets, or any part of them (including still images derived from videos or isolated stems derived from audio), as stock assets in any format. Ownership of all assets will remain with ZION VISUAL SRL in perpetuity.
LICENSEE RESTRICTIONS
The granted license covers use within one church or ministry organization. Licensee may not extend use across multiple organizations or unaffiliated entities under a single subscription.
Licensor reserves the right to invoice Licensee if a single license is used beyond its permitted scope. The granted license is conditioned on Licensee’s compliance with all obligations under this Agreement, including: (i) Licensee’s having acquired access directly from Licensor, and (ii) Licensee’s ongoing compliance with all obligations imposed by Licensor.
As between Licensor and Licensee, Licensor retains all right, title, and interest in: (i) the Licensed Product(s), the updates related thereto, and all feedback relating to the Licensed Product(s) that concerns features or functionality, whether provided directly or indirectly; (ii) all Derivative Works of the Licensed Materials; and (iii) all Intellectual Property Rights in the items listed in (i) and (ii), subject only to the limited licenses expressly set forth in this Agreement.
For purposes of this Agreement, “Derivative Work” means any revisions, modifications, translations, abridgments, or compilations. “Intellectual Property Rights” means patents, trademarks, copyrights, trade secrets, moral rights, and other intellectual property rights, whether currently existing or prospective, including all applications and renewals thereof.
Licensee shall not: (i) translate, adapt, reverse engineer, decompile, disassemble, create derivative works of, or modify the Licensed Materials or any portion thereof; (ii) attempt to circumvent technical measures in the Licensed Materials; (iii) copy, rent, sell, sublicense, or grant access to the Licensed Materials except as expressly set forth in this Agreement; (iv) transfer any portion of the Licensed Materials to any third party.
LIMITATION OF LIABILITY
We make no representations or warranties of any kind, express or implied, as to the operation of our platform or the information, content, materials, or products made available through our Services. To the full extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We will not be liable for any damages of any kind arising from the use of our platform or our subscription service, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
TERMINATION
If the Licensee cancels their subscription, the license for any assets previously accessed will remain active for projects released prior to the cancellation date. However, the Licensee is prohibited from using these assets in new projects after cancellation. Upon cancellation, the Licensee is expected to delete all downloaded assets from their media server and cease all use.
SHARING AND MISUSE
The Licensee may not share access to assets or download links outside of their subscribing organization. If Aisthesis finds that the Licensee has violated this term, we reserve the right to cancel the Licensee’s subscription and prohibit future use of our Services.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Romania. Any dispute arising under or related to this Agreement shall be resolved exclusively through the competent Romanian courts.
CHANGES TO THIS AGREEMENT
We reserve the right to modify this Agreement at any time. Any changes will be posted on our website. Licensee’s ongoing use of our Services constitutes agreement with the then-current terms.
